Bumper FR 2026-1: 28 July 2026

On the Closing Date, Bumper FR 2026-1 will purchase from the Seller the Initial Portfolio consisting of Lease Receivables and related RV Receivables satisfying, as at the Initial Cut-Off Date, the Eligibility Criteria and the Replenishment Criteria arising from Lease Agreements entered into by the Seller with the relevant Lessees.

As at the closing date (27 July 2026) the provisional pool consisted of 32,213 fixed rate lease agreements. Business sector (no of leases/% discounted balance): Corporate - 23,772 /68.98%, SME – 8,040 / 29.99 %, Government – 401/1.02%. Product Type: Closed Calculation – 32,016 /98.92%, Open Calculation – 197/1.08%. New/Used: new – 32,212 /100.00%, used – 1/0.00%. The WA seasoning is 16.3 months. Regional concentration: Hauts-de-Seine – 21.07%, Paris – 9.24%, Rhone– 5.75% and Val-de-Marne– 2.50%.

EU & UK Risk Retention: TEMsys (Ayvens France) acts as an "originator" within the meaning of Article 2(3) of Regulation (EU) 2017/2402 (the "EU Securitisation Regulation") and has undertaken to retain for the life of the transaction a material net economic interest of not less than 5% in the transaction in accordance with Article 6(3)(d) of the EU Securitisation Regulation and Article 7 of the EU Risk Retention RTS, and the Securitisation Regulations 2024 (SI 2024/102) as amended ("SR 2024") adopted by the Financial Conduct Authority (FCA) of the United Kingdom.

US Risk Retention Rules: Except with the prior written consent of the Seller and where such sale falls within the exemption provided by Section 20 of the US Risk Retention Rules, the Class A Notes sold as part of the initial distribution of the Class A Notes may not be purchased by any person except for persons that are not US persons as defined in the US Risk Retention Rules.

STS: The securitisation transaction is intended to qualify as a simple, transparent and standardised securitisation within the meaning of Article 18 of the EU Securitisation Regulation.
