Sunshine Mortgage Funding 1
A stand-alone issue, where the Issuer will make payments on the Notes from the collections received from a portfolio of equity release mortgages secured over residential properties located in England, Wales, Scotland and Northern Ireland. Prior to the Closing Date, the Mortgage Portfolio is being serviced by Standard Life Lifetime Mortgages Limited.
The Mortgage Portfolio was acquired by the Issuer from the Seller, which acquired beneficial interest to the Mortgage Portfolio from Phoenix Life Limited. The Mortgage Portfolio was originated by Northern Rock plc, Northern Rock (Asset Management) plc, Legal & General Bank Limited, Crown Mortgage Management Limited (which subsequently changed its name to Capita Mortgage Services Limited, then to Link Mortgage Services Limited and is now BCM Global Mortgage Services Limited) and Julian Hodge Bank Limited.
The Portfolio as at 31 March 2026 consisted of 3,769 loans, in 6,533 loan parts, and 4,051 borrowers. The average current loan balance is £165,482 and the WA indexed property value is £580,809. The WA Age of Youngest Borrower is 88.66 years and the WA Seasoning since Initial Advance is 20.88 years.
UK & EU Risk Retention: On the Closing Date, Kasper 1 LP (the Retention Holder) will, as an “originator”, undertake to retain on an ongoing basis a material net economic interest in the securitisation of not less than 5% as required by (i) Article 6 of the EU Securitisation Regulation and (ii) SECN 5 (the “FCA Retention Rules” and the “UK Retention Rules”).
US Risk Retention: The Retention Holder will satisfy the requirements of the “sponsor of a securitisation transaction” under the US Credit Risk Retention Requirements by retaining an economic interest in the credit risk of the securitised assets, directly or through one of its majority-owned affiliates.
