Sound Point Euro CLO 17 Funding DAC: 17 July 2026
The assets securing the Notes will consist primarily of a portfolio of Senior Loans, Senior Secured Bonds, Mezzanine Obligations and High Yield Bonds, managed by Sound Point CLO C-MOA LLC acting through its Second Management Series.
Sound Point Euro CLO 17 Funding DAC will issue Class A Notes, Class B Notes, Class C Notes, Class D Notes, Class E Notes, Class F Notes and Subordinated Notes.
The Notes are being offered on the Issue Date by the Issuer through Citigroup Global Markets Limited or an affiliate thereof in its capacity as sole arranger and placement agent, subject to prior sale and to certain conditions.
The Issuer anticipates that, by the Issue Date, it or the Collateral Manager on its behalf will have purchased or committed to purchase Collateral Debt Obligations the Aggregate Principal Balance of which is equal to at least €396mln, which is approximately 99.0% of the Target Par Amount.
EU & UK Risk Retention: The Retention Holder (SP CMOA) will, on the Issue Date, in accordance with the Retention Requirements in force as at the Issue Date, acquire and retain on an ongoing basis, for so long as any Class of Notes remains outstanding, a material net economic interest equal to not less than 5% of the nominal value of each of the Classes of Notes sold or transferred to investors.
US Risk Retention: Based on the LSTA Decision, it should be assumed that no party involved in the transaction will retain any Notes intended to satisfy the US Risk Retention Rules
