Hoxton Consumer Loan Funding 2026-1 DAC: 25 July 2026
The Issuer will make payments on the Notes from payments of principal and interest received from a portfolio of Receivables originated by Lendable Ltd and originally sold by the Legal Title Holder to certain warehousing vehicles (being Hoxton Funding IX DAC, Hoxton Funding X DAC, Hoxton Funding XI DAC and Hoxton Funding XII DAC). Note that substitution of the Receivables contained in the Portfolio may occur in accordance with the terms described in the prospectus.
The provisional portfolio (as at 15 July 2026) consisted of 79,419 receivables, where the current average receivables balance is £7,853. None are over 30 days in arrears. Loan Purpose: Debt Consolidation – 57.0%, Home Improvement – 10.7%, Vehicles – 10.1%. The WA seasoning is 9.0 months. Geographic Region: South East – 13.1%, North West 12.5% and East of England 9.5%.
UK & EU Risk Retention: As at the Closing Date, the UK Retention Requirement and EU Retention Requirement will each be satisfied by the Risk Retention Holder (Lendable Credit Opportunities RAIF – IV) retaining, directly or indirectly, the Class F Notes in an amount equal to no less than 5% of the nominal value of the securitised exposures.
US Risk Retention: The transaction is not intended to involve the retention by a sponsor of at least 5% of the credit risk of the securitised assets for purposes of compliance with the final rules promulgated under Section 15G of the Securities Exchange Act of 1934, but rather intends to rely on an exemption provided for in Section 20 of the US Risk Retention Rules regarding non-US transactions.
STS: Pursuant to Article 27(1) of the EU Securitisation Regulation, the Risk Retention Holder shall procure that an STS notification is submitted to ESMA and the Commission de Surveillance du Secteur Financier in Luxembourg that in its opinion the applicable requirements of Article 19 to 26 of the EU Securitisation Regulation have been satisfied with respect to the Notes.
