Sona Fios CLO II DAC (2nd Refinance): 18 February 2026
The assets securing the Notes will consist of a portfolio primarily of Senior Loans, Senior Secured Bonds, Mezzanine Obligations and High Yield Bonds, and will be managed by Sona Asset Management (UK) LLP.
On 11 June 2024 (the Original Issue Date) Sona Fios CLO DAC issued Class A Senior Secured Floating Rate Notes due 2037, Class B-1 Senior Secured Floating Rate Notes due 2037, Class B-2 Senior Secured Fixed Rate Notes due 2037, Class C Senior Secured Deferrable Floating Rate Notes due 2037, Class D Senior Secured Deferrable Floating Rate Notes due 2037, Class E Senior Secured Deferrable Floating Rate Notes due 2037, Class F Senior Secured Deferrable Floating Rate Notes due 2037 and Subordinated Notes due 2037.
In addition, on the Original Issue Date the Issuer entered into a loan agreement pursuant to which the Class A Lenders granted a facility in the amount of €120,750,000.
On 2 July 2025 (the 2025 Refinancing Date) the Issuer refinanced the Class A Loan and issued Class A Senior Secured Floating Rate Notes due 2037 which were additional to and fungible with the 2024 Class A Notes.
On the 15 February 2026 Re-issue Date the Issuer will, subject to certain conditions, refinance in whole each Class of the Original Rated Notes by issuing Class A Senior Secured Floating Rate Notes due 2039, Class B-1 Senior Secured Floating Rate Notes due 2039, Class B-2 Senior Secured Fixed Rate Notes due 2039, Class C Senior Secured Deferrable Floating Rate Notes due 2039, Class D Senior Secured Deferrable Floating Rate Notes due 2039, Class E Senior Secured Deferrable Floating Rate Notes due 2039 and Class F Senior Secured Deferrable Floating Rate Notes due 2039.
The Existing Subordinated Notes were issued on the Original Issue Date and are not being offered pursuant to this Offering.
The Offered Notes (other than the Retention Notes) are being offered by the Issuer through Deutsche Bank Aktiengesellschaft in its capacity as arranger and initial purchaser of the Offered Notes.
