CVC Cordatus Loan Fund XII DAC (Refinance): 05 April 2021


The assets securing the Notes will consist predominantly of a portfolio of Senior Secured Loans, Senior Secured Bonds, Second Lien Loans, Mezzanine Obligations and High Yield Bonds, and will be managed by CVC Credit Partners European CLO Management LLP.

On 14 December 2018 (the Original Issue Date) CVC Cordatus Loan Fund XII issued Class X Senior Secured Floating Rate Notes due 2032, Class A-1 Senior Secured Floating Rate Notes due 2032, Class A-2 Senior Secured Floating Rate Notes due 2032, Class B-1 Senior Secured Floating Rate Notes due 2032, Class B-2 Senior Secured Fixed Rate Notes due 2032, Class C-1 Senior Secured Deferrable Floating Rate Notes due 2032, Class C-2 Senior Secured Fixed Rate Notes due 2032, Class D Senior Secured Deferrable Floating Rate Notes due 2032, Class E Senior Secured Deferrable Floating Rate Notes due 2032, Class F Senior Secured Deferrable Floating Rate Notes due 2032, Class M-1 Subordinated Notes due 2032 and Class M-2 Subordinated Notes due 2032.

On or about 1 April 2021 (the re-Issue Date) the Issuer will, subject to certain conditions, refinance the Original Class A-1 Notes, the Original Class A-2 Notes, the Original Class B-1 Notes, the Original Class B-2 Notes, the Original Class C-1 Notes and the Original Class C-2 Notes.

The Refinanced Notes are being offered by the Issuer through Jefferies International Limited in its capacity as placement agent of the Notes subject to prior sale.

EU Risk Retention: The Collateral Manager, acting through its Jersey Branch, shall act as the retention holder and shall retain, on an ongoing basis for so long as any class of Rated Notes remains outstanding, Class M-1 Subordinated Notes with a Principal Amount Outstanding equal to not less than 5% of the greater of (i) the Aggregate Collateral Balance and (ii) the Target Par Amount in accordance with Article 6(3)(d) of the Securitisation Regulations as in effect on the Issue Date.

US Risk Retention: No party involved in the transaction will obtain on the Issue Date and retain any Notes intended to satisfy the U.S. Retention Requirements.
