Harvest CLO XIV - Refinance: 21 November 2017

The assets securing the Refinancing Notes will consist, and the assets securing the Original Notes consist, of a portfolio of Senior Secured Loans, Senior Secured Bonds, Second Lien Loans, Unsecured Senior Loans, Mezzanine Loans, PIK Securities, Corporate Rescue Loans, Bridge Loans and High Yield Bonds, and will be managed by Investcorp Credit Management EU Limited.

On 18 November 2015 (the Original Issue Date) Harvest CLO XIV issued Class A-1A Senior Secured Floating Rate Notes due 2029, Class A-1B Senior Secured Floating Rate Notes due 2029, Class A-2 Senior Secured Fixed Rate Notes due 2029, Class B-1 Senior Secured Floating Rate Notes due 2029, Class B-2 Senior Secured Fixed Rate Notes due 2029, Class C Senior Secured Deferrable Floating Rate Notes due 2029, Class D Senior Secured Deferrable Floating Rate Notes due 2029, Class E Senior Secured Deferrable Floating Rate Notes due 2029, Class F Senior Secured Deferrable Floating Rate Notes due 2029 and Subordinated Notes due 2029.

On or about 20 November 2017 (the Refinancing Date – being the next Business Day following the Scheduled Payment Date) the Issuer will, subject to certain conditions, issue the Class A-1A Senior Secured Floating Rate Notes due 2029, Class A-2 Senior Secured Fixed Rate Notes due 2029, Class B-1 Senior Secured Floating Rate Notes due 2029, Class B-2 Senior Secured Fixed Rate Notes due 2029, Class C Senior Secured Deferrable Floating Rate Notes due 2029, Class D Senior Secured Deferrable Floating Rate Notes due 2029 and the Class E Senior Secured Deferrable Floating Rate Notes due 2029.

The Issuer will not be issuing any Class A-1B Notes and instead will issue, on the Refinancing Date, the Class A-1A Notes in a Principal Amount Outstanding equal to the aggregate of the Principal Amount Outstanding of the Original Class A-1A Notes and the Original Class A-1B Notes.
