The proceeds of the new notes will be used to refinance the GBP350 million Class A3 and the EUR953 million Class A4 Notes which are currently outstanding at CLEF, and also to cover for a portion of the mark-to-market loss related to interest rate swaps currently in place for A3 and A4 Notes.

The Issuer is of the opinion that the EU Risk Retention Requirements do not apply to the 2017 Notes.
